ALARIS MEDICAL IN $55 MILLION DEAL FOR INSTROMEDIX

Alaris Medical Inc., a medical-instrument maker with 1997 sales of $359 million, said yesterday that it planned to buy closely held Instromedix Inc. for $55 million in cash to add telemedicine and heart-monitoring equipment to the Alaris product line. Instromedix, based in Hillsboro, Ore., makes portable heart-monitoring equipment, including electrocardiograms, which can relay images through the telephone or on the Internet to hospitals and physicians. Alaris Medical, based in San Diego, sells intravenous drug pumps and other products.

CAREY SAYS IT IS IN TALKS TO ACQUIRE 63 COMPANIES

Carey International Inc., the world's largest chauffeured-vehicle service company, said yesterday that it was in acquisition talks with 63 companies representing $420 million in annual revenue, as it continues to consolidate in a fragmented industry. Carey, which provides limousine, minibus and van services in 420 cities in 65 countries, also said that net income for the second quarter ended May 31 rose 45 percent. Carey, which is based in Washington, said it had built up its marketing and sales programs while integrating recently acquired independent operators of chauffeured-vehicle businesses. Carey rose $3 a share, to $26.25.

ADAPTEC'S PURCHASE OF A HYUNDAI UNIT IS CALLED OFF

Adaptec Inc. and Hyundai Electronics America yesterday scrapped Adaptec's proposed $775 million purchase of Hyundai's Symbios Inc. unit, which makes devices that connect computers to networks, in the face of opposition by the United States Federal Trade Commission. Adaptec said it expected to take a $20 million charge related to the transaction in its first quarter, which will end on Tuesday. Adaptec announced another unrelated first-quarter charge in March. Adaptec said the F.T.C. would probably oppose the purchase because the combination might have given Adaptec a monopoly in one of several technologies to move information to and from computers. Adaptec's shares rose $1.0625 yesterday, to $16.6875.

LEVEL ONE AGREES TO BUY ACCLAIM FOR $118 MILLION

Level One Communications Inc. agreed yesterday to buy Acclaim Communications Inc. for $118 million in stock to add Acclaim's products to the line of computer networking equipment it sells to phone companies. Level One, based in Sacramento, Calif., will issue five million shares of its common stock in exchange for Acclaim, a closely held company based in San Jose, Calif. The deal was announced after Level One's stock closed at $23.6875, down $2.5625. Level One will sell Acclaim's computer switches to its telecommunications customers, who are upgrading their networks to handle Internet traffic.
