Ascend Communications Inc. agreed yesterday to acquire Netstar Inc. for stock worth about $300 million. Both companies make computer networking products. Netstar, based in Eden Prairie, Minn., makes products that combine high-speed switching capabilities with Internet-standard communication. Ascend, based in Alameda, Calif., will exchange 0.35 of a share for each Netstar share. Netstar's operations will remain in Eden Prairie, operating as Ascend's high-speed networking unit. In Nasdaq trading yesterday, shares of Netstar fell $2.375, to $22.875. Shares of Ascend rose 75 cents, to $66.875.

Republic Industries, headed by H. Wayne Huizenga, agreed yesterday to acquire Addington Resources Inc. in a stock swap valued at about $322 million at Thursday's closing stock price. Republic, which provides waste management and electronic security services, will exchange 0.45 of a share for each of Addington's 15.2 million outstanding shares. Shares of both Republic and Addington rose sharply yesterday in Nasdaq trading. Addington stock was up $3.50, or nearly 21 percent, at $20.50 a share, while Republic stock was up $4.8125 at $52. Addington is a waste-management company based in Ashland, Ky. It expects to post revenue of about $65 million to $70 million for its current fiscal year, while Republic has annual revenue of about $346 million.

Peoples Heritage Financial Group, a banking company, said yesterday that it would acquire Family Bancorp in a stock deal valued at about $113.2 million. Peoples will offer 1.26 of its common shares, worth about $25.60, for each Family share in a tax-free exchange. In Nasdaq trading yesterday, shares of Family gained $1.625, to $23.875, while shares of Peoples rose 12.5 cents, to $19.875. Family, with assets of $887 million, has 17 banking offices in the Merrimack Valley area near Haverhill and Lowell, Mass., and six banking offices in southern New Hampshire. Peoples has $4.3 billion in assets and operates Peoples Heritage Bank, with 62 banking centers throughout Maine.

Danka Business Systems P.L.C., a London-based company that distributes, leases and repairs office equipment in the United States, said yesterday that it had acquired the closely held Leslie Supply Company for $80 million in stock. Danka issued 6.8 million ordinary shares, the equivalent of 1.7 million American depository receipts, to finance the purchase, said Robin Cohen, a company spokeswoman. Leslie Supply is a distributor of Canon photocopiers, fax machines and supplies. It employs 400 people in three offices in the New York area.

Seacor Holdings Inc. said yesterday that it had acquired McCall Enterprises Inc. and its affiliated companies. Seacor exchanged 1.3 million shares of its common stock, valued at approximately $64.6 million, for all of McCall's outstanding capital stock, including $6.8 million in working capital. McCall, based in Cameron, La., operates utility and crew boats that serve the oil and gas industries in the Gulf of Mexico. Seacor operates a fleet of vessels used in supporting offshore oil and gas exploration and development in the Gulf of Mexico, the North Sea and West Africa.

Maxim Group Inc. said yesterday that it had agreed to acquire Image Industries Inc. in a stock swap valued at $90.7 million. Image, based in Armuchee, Ga., makes carpets from recycled plastic. It will become a wholly owned subsidiary of Maxim, a Kennesaw, Ga., chain of 700 retail floor-covering stores. Image posted revenue of $135.2 million in 1995. Maxim had sales of $99.3 million in the 10 months ended Jan. 31, and $76.1 million in the previous full fiscal year. The company changed its fiscal year-end last year to Jan. 31 from March 31.
