CITIZENS BANK TO ACQUIRE BANK IN RHODE ISLAND

Citizens Bank will acquire all the deposits and some loans of Old Stone Federal Savings Bank from the Resolution Trust Corporation. The acquisition is expected to be completed later this week, the bank said. The price was not disclosed. Old Stone, based in Providence, R.I., has $1.1 billion in deposits. Citizens Bank, which has 46 branches in Rhode Island, will also acquire Old Stone's 28 branch offices. Citizens Financial Group, the parent of Citizens Bank, is owned by the Royal Bank of Scotland P.L.C.

FIRST INTERSTATE TO BUY NORTH TEXAS BANCSHARES

First Interstate Bank of Texas said yesterday that it had agreed to buy North Texas Bancshares, a closely held banking company with $388 million in assets, for $66 million in cash. The division of the First Interstate Bancorp of Los Angeles said the price worked out to about 2.1 times book value for North Texas, the third-largest independent bank in the Dallas-Fort Worth area. First Interstate said the purchase would double its market share in Tarrant County, where Fort Worth is situated, to 6 percent. First Interstate of Texas, based in Houston, reported $5.4 billion in assets as of March 31. The deal is expected to be completed early next year.

MAY TO ACQUIRE 8 STORES IN NEW YORK STATE

The May Department Stores Company said yesterday that it had agreed to buy eight stores from McCurdy & Company, a department store chain in upstate New York. May, based in St. Louis, plans to remodel three of the stores in the Rochester area and reopen them in 1995 as part of its Kaufmann's chain. The company plans to sell the remaining stores to other operators. May's Kaufmann's chain, with 40 stores in New York, Ohio, Pennsylvania and West Virginia, had revenue of $1.2 billion in 1993.

NEW UNOCAL DIVISION TO UPGRADE 1,000 SERVICE STATIONS

The Unocal Corporation's 76 Products Company, which was formed last week to hold the company's West Coast refining and marketing operations, will upgrade 1,000 service stations with convenience stores, car washes and fast-food franchises, the company said. Unocal set up the division as part of an effort to streamline the company's operations. Unocal also announced last week that it planned to sell its California oil and natural gas assets and invest the proceeds in more promising opportunities overseas. The service station upgrades will be carried out in the next three to four years, the company said. "You can't just make it on gasoline," a Unocal spokesman said.

ITEL TO BUY BACK UP TO 2 MILLION SHARES OF STOCK

The Itel Corporation said its board had authorized the repurchase of up to two million shares of its common stock. The company has about 32 million shares outstanding. Itel, through its Anixter subsidiary, provides wiring systems and products for data, voice, multimedia and energy networks. Itel's stock rose $1, to $32.375, on the New York Stock Exchange.

NEC MAY BUILD NEW CHIP PLANT OUTSIDE JAPAN

The NEC Corporation said yesterday that that it might build a large new semiconductor plant outside Japan, where production capacity is running low. "We're seriously considering a plant" in the United States, Britain or Continental Europe, Kirsty Chubb, a NEC spokeswoman in London, said. "Semiconductor demand is increasing and the company needs more capacity." A decision should be made this fall, Ms. Chubb said. The plant would initially make 16-megabit D-RAM memory chips and then expand to 64-megabit chips, she said. NEC, which employs about 1,800 workers in Britain, already makes four-megabit chips in Scotland and mobile telephones in England. Its biggest United States semiconductor plant is in Roseville, Calif.

Mississippi Theater Deal

The Casino Resource Corporation said today that it had reached an agreement to sell the Biloxi Star Theater to Grand Casinos Inc. for an undisclosed amount. Casino Resource, based in Biloxi, said weak attendance and poor sales for future performances had led to its decision. Last week, David Fondrie, the chief executive and president, said results from the theater, which opened on May 28, had been disappointing because the 1,872-seat property had not sold out performances. In Nasdaq trading today, Casino Resource's stock rose 12.5 cents, to $2.375, near its record low of $2.
